Membership Agreement
Parties
This Membership Agreement ("Agreement") has been concluded between Oz Hicret S.R.L. (CUI/Registration Number: [Company Registration Number], Bulevardul Iuliu Maniu 408, Sector 6, Bucharest, Romania) ("SITE" or "Company") and the internet user who becomes a member on www.ozhicret.com ("MEMBER"), under the following terms and conditions.
Subject Matter and Scope
The subject matter of this Agreement is to determine the conditions for using the spare parts sales and e-commerce services offered by Oz Hicret S.R.L. through www.ozhicret.com, as well as the rights and obligations of the parties within the framework of GDPR (EU 2016/679), Romanian Law No. 190/2018, and the EU Consumer Rights Directive (2011/83/EU).
Membership Conditions

  • Must be at least 18 years old or have legal representative consent (GDPR Article 8).

  • Membership application is completed by correctly and completely filling out the registration form on the SITE. Information such as name, surname, email, phone, and delivery address are required during registration.

  • MEMBER accepts all the terms of this Agreement electronically by checking the box "I have read and accept the Membership Agreement" during registration.

  • Oz Hicret S.R.L. reserves the right to reject membership applications it does not deem appropriate and to suspend or cancel existing memberships.

  • MEMBER is responsible for account security and username/password confidentiality.

Rights and Obligations of the Parties

  • MEMBER's Obligations:

    • Is obliged to provide accurate, complete, and up-to-date information during registration. Must update account when there are changes in information.

    • Is responsible for username and password security. Is responsible for all transactions performed through the account.

    • Cannot use the SITE in a manner contrary to Romanian and EU laws, general morals, and intended use.

    • Cannot gain unauthorized access to others' accounts and cannot engage in activities that disrupt the operation of the SITE.

    • Is obliged to provide accurate vehicle information for spare parts orders.

  • SITE's Rights and Obligations:

    • Oz Hicret S.R.L. has the right to change the services offered to members, product content, and pricing by giving 30 days advance notice (for significant changes).

    • Cannot be held responsible for temporary service interruptions due to technical maintenance, security updates, and force majeure. Planned maintenance is announced in advance.

    • Is obliged to protect MEMBER's personal data in accordance with GDPR and Romanian legislation.

    • Is obliged to ensure accurate description of spare parts products and compliance with quality standards.

  • B2B (Corporate Member) Special Terms:

    • For B2B membership, a request can be created through the SITE or contact info@ozhicret.com. Applications are evaluated and approved by Oz Hicret S.R.L. within 5 business days.

    • B2B pricing varies according to the customer's order volume, business potential, and payment terms. Special discount rates and price lists are determined on a customer basis and notified in writing.

    • B2B shipping terms differ for domestic and international deliveries. Shipping costs are specially determined based on order quantity, weight, and location. Deliveries within Bucharest are free.

    • B2B members are obliged to provide a valid commercial registration certificate, tax identification number (CUI), and complete corporate invoicing information.

    • Payment terms (advance, term, installment, etc.) and deadlines for B2B orders can be arranged by separate written agreement between the parties. The standard term is 30 days.

    • B2B members are subject to minimum order amount and order frequency requirements (details are specified in the B2B contract).

Privacy and Personal Data (Under GDPR)
The personal data that MEMBER shares during the membership process (name, surname, email, phone, address, order history, payment information) is processed in accordance with the European Union General Data Protection Regulation (GDPR - EU 2016/679) and Romanian Law No. 190/2018.

Intellectual Property Rights
All texts, graphics, logos, images, software, product descriptions, and designs on www.ozhicret.com are protected by Oz Hicret S.R.L.'s copyright and trademark legislation (EU and Romania). MEMBER cannot reproduce, copy, distribute, reverse engineer, or use this content for commercial purposes without permission. Legal action will be taken in case of violation.
Duration and Termination of the Agreement

  • This Agreement enters into force when MEMBER completes registration and continues indefinitely.

  • MEMBER can cancel membership at any time through info@ozhicret.com or account settings. Cancellation request is processed within 7 days.

  • Oz Hicret S.R.L. can terminate membership unilaterally and immediately if MEMBER acts contrary to the Agreement, Romanian/EU legislation, or SITE usage rules (false information, fraud, abuse, etc.) and can initiate legal proceedings.

  • In case of membership cancellation, MEMBER's GDPR rights (data deletion, etc.) are reserved. However, data subject to legal retention obligation (invoices, order history, etc.) is retained for 5 years.

Dispute Resolution and Competent Court
For disputes that may arise from this Agreement, an amicable solution is sought first. If no agreement is reached, the courts and execution offices of Bucharest (București) have jurisdiction.

MEMBERs with consumer status have the right to file complaints with the Romanian National Authority for Consumer Protection (ANPC - Autoritatea Națională pentru Protecția Consumatorilor) and through the EU Online Dispute Resolution Platform (ODR).
Agreement Changes
Oz Hicret S.R.L. reserves the right to modify this Agreement. Significant changes are notified to MEMBERs by email 30 days in advance. If MEMBER does not accept the changes, membership can be cancelled. Continuing to use the SITE after the change notification means accepting the changes.

Entry into Force and Approval
By checking the box "I have read and accept the Membership Agreement" when registering on www.ozhicret.com, MEMBER declares that they have understood and accepted all the terms in this Agreement, the Privacy Policy, the Distance Sales Agreement, and the GDPR information. This approval constitutes a valid contract in the electronic environment (EU Electronic Signature Directive 1999/93/EC).
